Terms of Service

1. Parties
These Terms of Service ("Terms") constitute a legally binding agreement between TechPulse Solution (Business Registration No. 202403067632 / KT0565483-A), a sole proprietorship registered under the laws of Malaysia, with its principal place of business at No 30, Jalan Bukit Kempas 2/3, Taman Bukit Kempas, 81200 Johor Bahru, Johor, Malaysia ("TechPulse", "we", "us") and the individual or entity engaging our services ("Client", "you").
By engaging our services or accepting a proposal from TechPulse Solution, you agree to be bound by these Terms.
2. Services
TechPulse Solution provides IT consultancy, software development, and related engineering services including but not limited to mobile application development, web application development, backend engineering, API development, UI/UX implementation, and ongoing technical support.
The specific scope, deliverables, and pricing for each engagement will be confirmed in writing prior to commencement of work via a separate Scope of Work or proposal document.
3. Engagement & Onboarding
All engagements begin with a discovery call to assess the Client's requirements and technical environment. TechPulse reserves the right to decline any engagement at its discretion.
Upon agreement, our engineers will be onboarded to the Client's designated communication channels (e.g. Slack, GitHub) within 7 business days. The first billable period begins on the agreed start date.
4. Payment Terms
- Services are billed on a monthly retainer basis, payable in advance at the start of each billing cycle.
- Invoices are issued on the 1st of each month and are due within 7 calendar days.
- Accepted payment methods: bank transfer and Stripe (credit/debit card).
- Late payments beyond 14 days may result in suspension of services until the outstanding balance is settled.
- All fees are quoted in USD unless otherwise agreed. Malaysian clients may be invoiced in MYR at the prevailing exchange rate.
- There are no setup fees, time-tracking charges, or hidden surcharges.
5. Termination & Notice
Either party may terminate the engagement by providing 30 days' written notice via email. During the notice period, services will continue and the final month's retainer remains payable in full.
TechPulse reserves the right to terminate immediately in the event of non-payment, abusive conduct towards team members, or a request to engage in illegal or unethical activity.
6. Intellectual Property & Code Ownership
Upon full payment of all outstanding fees, the Client owns 100% of all work product produced by TechPulse under the engagement, including but not limited to source code, designs, documentation, and infrastructure configurations.
TechPulse retains no licence, right, or claim over any deliverables once payment is received. The Client is free to use, modify, distribute, or transfer the work product without restriction.
TechPulse may use the existence of the engagement for portfolio and marketing purposes (e.g. listing the Client's product name as a case study) unless the Client requests otherwise in writing.
7. Confidentiality
Both parties agree to keep confidential all proprietary information, trade secrets, technical details, business strategies, and client data disclosed during the course of the engagement ("Confidential Information").
This obligation applies to:
- All source code, repositories, and technical documentation provided by the Client.
- Access credentials, API keys, and environment configurations.
- Business plans, roadmaps, and unreleased product information.
- End-user data and any personally identifiable information belonging to the Client's users.
Confidentiality obligations survive termination of the engagement for a period of 3 years. A separate NDA may be signed upon request before the discovery call at no additional charge.
8. Client Data & System Access
When engineers access Client production systems, databases, or user data as part of the engagement, TechPulse commits to:
- Accessing only the systems and data necessary to perform the agreed work.
- Not copying, exporting, or retaining Client user data beyond what is operationally required.
- Following secure access practices (e.g. using provided credentials, not sharing access).
- Notifying the Client promptly of any suspected data breach or security incident.
9. Limitation of Liability
To the fullest extent permitted by applicable law, TechPulse's total liability to the Client for any claim arising out of or in connection with the services shall not exceed the total fees paid by the Client to TechPulse in the 3 months immediately preceding the event giving rise to the claim.
TechPulse shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, loss of data, or business interruption.
10. Warranties
TechPulse warrants that:
- Services will be performed with reasonable skill and care by qualified engineers.
- Deliverables will materially conform to the agreed Scope of Work.
- We hold the rights to provide the services and the work product will not infringe any third-party intellectual property rights.
Except as expressly stated above, services are provided "as is" without any other warranty, express or implied.
11. Independent Contractor
TechPulse and its engineers operate as independent contractors. Nothing in these Terms creates an employment relationship, partnership, or joint venture between TechPulse and the Client. TechPulse engineers are not employees of the Client and are not entitled to employee benefits.
12. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.
If the dispute cannot be resolved within 30 days of written notice, it shall be submitted to the exclusive jurisdiction of the courts of Malaysia.
13. Changes to These Terms
TechPulse reserves the right to update these Terms at any time. Clients with active engagements will be notified of material changes via email at least 14 days before they take effect. Continued engagement after the notice period constitutes acceptance of the updated Terms.
